These Terms of Service govern your use of PeerChat, a self-hosted team communication platform provided by PeerChat Technologies. Please read them carefully before using our Service.

1. Acceptance of Terms

By accessing or using PeerChat (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and that organisation.

If you do not agree to these Terms, you must not access or use the Service. We recommend that you print or save a copy of these Terms for your records.

2. Service Description

PeerChat is a self-hosted team communication platform designed for Indian regulated industries. The Service includes real-time messaging, file sharing, audio/video calling, channel management, and related collaboration tools.

PeerChat is deployed on your own infrastructure. You are responsible for provisioning, maintaining, and securing the servers and network environment on which PeerChat operates. PeerChat Technologies provides the software, updates, documentation, and support as described in your subscription plan.

3. User Obligations

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.

Infrastructure Responsibility

As a self-hosted platform, you are responsible for ensuring your deployment infrastructure meets the minimum requirements specified in our documentation, maintaining appropriate backups, and applying security patches to your hosting environment.

Compliance

You are responsible for ensuring your use of PeerChat complies with all applicable laws and regulations, including but not limited to SEBI, RBI, IRDAI, and DPDP Act requirements relevant to your industry.

4. Acceptable Use

You agree not to use PeerChat to:

(a) Violate any applicable law, regulation, or third-party rights. (b) Transmit any malware, viruses, or other harmful code. (c) Attempt to gain unauthorised access to any systems or data. (d) Interfere with or disrupt the integrity or performance of the Service. (e) Reverse-engineer, decompile, or disassemble any part of the Service beyond what is permitted by applicable law. (f) Use the Service to send unsolicited bulk communications (spam). (g) Sublicense, resell, or redistribute the Service without prior written consent from PeerChat Technologies.

We reserve the right to suspend or terminate your access if we reasonably believe you are in violation of these terms.

5. Payment Terms

Pricing

Fees for the Service are as described on our pricing page or in your enterprise agreement. All prices are listed in Indian Rupees (INR) unless otherwise specified.

Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen plan. You authorise us to charge your designated payment method for all applicable fees.

Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all taxes, including GST, associated with your use of the Service.

Refunds

Annual subscriptions may be eligible for a pro-rata refund within the first 30 days if you are not satisfied with the Service. Monthly subscriptions are non-refundable. Enterprise agreements may have custom refund terms as specified in the agreement.

Late Payments

Overdue amounts may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We may suspend your access to support and updates if payment is overdue by more than 30 days.

6. Intellectual Property

Our Rights

PeerChat, its logo, documentation, and all related intellectual property are owned by PeerChat Technologies. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service during the subscription term.

Your Data

You retain all rights to the data you and your users create, upload, or transmit through PeerChat. We claim no ownership over your content. Since PeerChat is self-hosted, your data remains on your infrastructure at all times.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual licence to use such feedback for any purpose without obligation to you.

7. Termination

By You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

By Us

We may terminate or suspend your access immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. We will provide reasonable notice where possible.

Effect of Termination

Upon termination, your licence to use the Service ceases. Since PeerChat is self-hosted, your data remains on your infrastructure. You are responsible for managing your data post-termination. We will continue to provide access to critical security patches for 90 days following termination of paid plans.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

(a) PeerChat Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. (b) Our total aggregate liability for all claims arising from or related to these Terms shall not exceed the amount you paid to PeerChat Technologies in the twelve (12) months preceding the claim. (c) PeerChat Technologies is not liable for any data loss, security breach, or downtime resulting from issues with your self-hosted infrastructure, including but not limited to server failures, misconfigurations, or inadequate security measures on your deployment environment. (d) The limitations in this section apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless PeerChat Technologies, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content transmitted through your PeerChat deployment.

10. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Dispute Resolution

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted in English, seated in Mumbai, India, by a sole arbitrator mutually agreed upon by the parties.

Jurisdiction

Subject to the arbitration clause above, the courts of Mumbai, Maharashtra, India shall have exclusive jurisdiction over any disputes not subject to arbitration.

11. General Provisions

Modifications

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and PeerChat Technologies regarding the Service.

Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or the right to enforce it at a later time.
